1Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Five Suns Digital LLC ("we," "us," or "our") governing your use of all products and services published by Five Suns Digital LLC, including The Appraisal Room, ThriftiQ, and any future applications we release (collectively, "our Products" or "the Services").

By creating an account, downloading, or using any of our Products, you confirm that you are at least 13 years of age (or the age of majority in your jurisdiction if higher), that you have read and understood these Terms, and that you agree to be bound by them. If you do not agree, do not use our Products.

2Description of Services

Five Suns Digital LLC develops AI-powered applications that help collectors, resellers, and small business owners make informed buying and selling decisions. Our current Products are:

• The Appraisal Room — analyzes photographs of antique and vintage items and generates market intelligence including estimated value ranges, market saturation analysis, resale margin assessments, buy/pass/negotiate verdicts, and listing generation tools. Available at appraisal-room.vercel.app and on Android via Google Play.
• ThriftiQ — analyzes photographs of items found at thrift stores, garage sales, and flea markets and generates resale valuations, marketplace pricing data, flip potential scores, and buy/pass recommendations. Available at thriftiq-pi.vercel.app.

All of our Products use artificial intelligence (AI) to generate analysis results. See Section 3 for the full AI disclosure.

3AI-Generated Content & Disclosures

By using the analysis features of any Five Suns Digital product, you acknowledge and accept these limitations. If you need a formal certified appraisal, please consult a qualified professional appraiser.

Item photographs you submit are processed by Anthropic, Inc.'s Claude AI on a per-request basis. See our Privacy Policy for details on how your images are handled.

4Account Registration

• You must provide a valid email address and secure password, or use Google OAuth sign-in, to create an account for any of our Products.
• One account per person. You may not create accounts for others without their explicit consent or use automated means to create accounts.
• You are responsible for all activity under your account. Keep your credentials secure and notify us immediately at privacy@fivesunsdigital.com if you suspect unauthorized access.
• Accounts are per-product — an account created for The Appraisal Room does not grant access to ThriftiQ, and vice versa.
• We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for more than 24 months, with notice where practical.

5Subscription Plans by Product

Each product offers a free tier and paid subscription plans. Plans are billed monthly on a recurring basis in USD via Stripe.

Billing & Renewal: Paid subscriptions renew automatically each month on your billing date until cancelled. You authorize us to charge your payment method on file for each renewal.

Upgrades: You may upgrade your plan at any time. The new plan takes effect immediately and is billed on your next renewal date.

Downgrades & Cancellation: You may downgrade or cancel at any time. Changes take effect at the end of your current billing period. You retain access to your paid tier until that date.

Payment Processing: All payments are processed by Stripe, Inc. By providing payment information, you also agree to Stripe's Terms of Service. We do not store your credit card details.

Free Tier: Free tier availability and limits are subject to change with 30 days' notice.

Future Products: When Five Suns Digital LLC releases new products, their subscription plans will be added to this section.

6Acceptable Use

You agree not to:

• Use any of our Products for unlawful purposes or in violation of applicable law.
• Attempt to reverse-engineer, decompile, or extract our proprietary code or AI prompts.
• Use bots, scripts, or automated tools to make bulk requests or circumvent usage limits.
• Attempt to tamper with scan counts, subscription tiers, billing data, or database records.
• Submit photographs containing illegal content, explicit material, or sensitive personal information about other people.
• Resell, redistribute, or represent AI-generated results as certified professional appraisals without clearly disclosing their AI-generated and non-certified nature.
• Share your account credentials or allow others to use your account to circumvent per-account scan limits.
• Interfere with or disrupt the integrity or performance of any of our Products or their underlying infrastructure.

7User Content

You retain ownership of all photographs and text you submit to our Products ("User Content"). By submitting User Content, you grant Five Suns Digital LLC a limited, non-exclusive license to store and process that content solely for the purpose of providing the requested Service to you.

You represent and warrant that you have the right to photograph and submit any items you upload — for example, that you own the item or have permission to photograph it for resale or appraisal purposes. You must not photograph people, private residences, or content that violates others' privacy or intellectual property rights.

We do not use your photographs or analysis results to train AI models. We do not claim ownership over your User Content beyond what is necessary to provide the Services.

8Intellectual Property

All Five Suns Digital LLC products — including their design, code, branding, interfaces, and non-AI-generated content — are owned by Five Suns Digital LLC and protected under United States copyright, trademark, and other intellectual property laws.

AI-generated analysis results are provided to you for personal and commercial use in your own resale or appraisal activities. You may use analysis content in your own listings, records, and business operations. You may not use our Products' outputs to build a competing appraisal or resale intelligence service.

9Disclaimer of Warranties

10Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11Indemnification

You agree to indemnify, defend, and hold harmless Five Suns Digital LLC and its officers, members, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any financial decisions you make based on AI-generated analysis results.

12Termination

By you: You may delete your account at any time via the account deletion page for the relevant product or by contacting us. Deletion stops future subscription charges; no refund is issued for the current billing period.

By us: We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or for other material cause. We will provide notice where reasonably practical.

Sections 3 (AI Disclosures), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) survive termination.

13Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-law provisions.

Informal Resolution First: Before initiating any formal dispute process, you agree to contact us at privacy@fivesunsdigital.com and give us 30 days to attempt to resolve the issue informally.

Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding individual arbitration in Colorado under the Commercial Arbitration Rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit.

Either party may seek emergency injunctive relief in a court of competent jurisdiction in Colorado to prevent irreparable harm pending arbitration.

14Changes to These Terms

We may update these Terms from time to time. We will update the "Effective Date" and notify you of material changes via email at least 14 days before they take effect. Your continued use of any of our Products after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and delete your account.

15Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Five Suns Digital LLC regarding the Services.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
